1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the aapollo educational management platform (the "Service"), operated by aapollo ("we", "our", or "us").
Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
These Terms apply to all users of the Service, including but not limited to learning centers administrators, teachers, parents, and students.
2. Definitions
- "Service" refers to the aapollo educational management platform, including all features, functionality, and user interfaces provided.
- "User" refers to any individual who accesses or uses the Service, including learning center administrators, teachers, parents, and students.
- "Tenant" refers to an organization (such as a learning center, school, or educational institution) that has registered to use the Service and has created an account.
- "Multi-Tenant" refers to the Service's capability to allow users to belong to multiple Tenants simultaneously and switch between them.
- "Content" refers to any information, data, text, images, or other materials that are uploaded, created, shared, or transmitted through the Service.
- "User Account" refers to the account created by a user to access and use the Service.
3. User Accounts
3.1 Account Creation
To use certain features of the Service, you must create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
3.3 Multi-Tenant Access
Our platform allows users to belong to multiple Tenants. When you create or join multiple Tenants:
- You may have different roles and permissions in each Tenant
- You agree to abide by the specific rules and policies established by each Tenant
- You understand that Tenant administrators may be able to access your activities and content within their Tenant
- You can switch between Tenants through your account settings
3.4 Account Termination
We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to a breach of the Terms.
4. User Roles and Responsibilities
4.1 Administrator Responsibilities
If you are a Tenant administrator, you:
- Are responsible for managing user access within your Tenant
- Must ensure compliance with all applicable laws, including those related to educational records and child privacy
- Are responsible for obtaining appropriate consent for collecting and processing user data
- Must properly manage and secure any data exported from the Service
4.2 Teacher Responsibilities
If you are a teacher using the Service, you:
- Agree to use the Service in accordance with your professional obligations as an educator
- Will maintain the confidentiality of student information
- Will use the communication features appropriately for educational purposes
4.3 Parent Responsibilities
If you are a parent using the Service, you:
- Agree to provide accurate information about yourself and your relationship to the student(s)
- Will use the communication features appropriately for educational purposes
- Will not share access to your account with others
4.4 Student Responsibilities
If you are a student using the Service, you:
- Agree to use the Service for educational purposes
- Will respect the privacy of other users
- Will not engage in any disruptive or harmful activities
- Will follow any additional rules set by your educational institution or teachers
5. User Content
5.1 User Content Ownership
You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display the User Content in connection with providing and improving the Service.
5.2 Content Restrictions
You agree not to submit, post, or transmit any User Content that:
- Violates any applicable law or regulation
- Infringes on the intellectual property rights of others
- Contains harmful, offensive, or inappropriate material
- Contains personal or sensitive information about others without their consent
- Impersonates any person or entity
- Contains malware, viruses, or other harmful code
5.3 Content Monitoring
We do not actively monitor User Content but reserve the right to review and remove any User Content that violates these Terms or that we find objectionable for any reason.
5.4 Feedback
If you provide us with any feedback or suggestions regarding the Service, you grant us the right to use such feedback without restriction and without compensation to you.
6. Subscription and Payment
6.1 Subscription Types
We offer various subscription plans for Tenants to access the Service. The features, limitations, and pricing of each plan are described on our website or in a separate agreement with the Tenant.
6.2 Payment Terms
Subscription fees are billed in advance on a recurring basis according to the billing cycle selected by the Tenant. All payments are non-refundable except as required by law or as explicitly stated in these Terms.
6.3 Price Changes
We reserve the right to change our prices at any time. If we change pricing for a subscription plan, we will provide notice of the change on our website or by email at least 30 days before the change takes effect.
6.4 Free Trial
We may offer free trials of the Service. At the end of the free trial period, we will begin charging the applicable subscription fee unless the Tenant cancels before the end of the trial period.
7. Intellectual Property
7.1 Our Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of aapollo and its licensors. The Service is protected by copyright, trademark, and other laws of Singapore and other countries.
7.2 License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for its intended purposes.
7.3 Restrictions
You agree not to:
- Modify, adapt, or hack the Service
- Create derivative works based on the Service
- Reverse engineer, decompile, or disassemble the Service
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law
8. Privacy
Our Privacy Policy, available at Privacy Policy, describes how we collect, use, and share information about you when you use our Service. By using the Service, you agree to our collection, use, and sharing of information as described in our Privacy Policy.
9. Disclaimers
9.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 No Guarantees
We do not guarantee that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- The results that may be obtained from the use of the Service will be accurate or reliable
- Any errors in the Service will be corrected
9.3 Educational Content
We do not create or control the educational content provided by Tenants, teachers, or other users. We are not responsible for the accuracy, quality, or appropriateness of any educational content shared through the Service.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall aapollo, its affiliates, or its licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the Service.
To the maximum extent permitted by applicable law, our total liability to you for any damages shall not exceed the amount paid by you to us, if any, for the Service during the six (6) months prior to the claim.
The limitations of liability in this section apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.
11. Indemnification
You agree to defend, indemnify, and hold harmless aapollo, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your User Content
- Your use of the Service
- Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right
12. Term and Termination
12.1 Term
These Terms will remain in full force and effect while you use the Service or maintain a user account.
12.2 Termination by You
You may terminate your use of the Service at any time by closing your account and discontinuing use of the Service. If you are a Tenant administrator, you may terminate your Tenant's subscription according to the procedures described in your subscription agreement.
12.3 Termination by Us
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of the Terms.
12.4 Effect of Termination
Upon termination, your right to use the Service will immediately cease. If your account or Tenant subscription is terminated, we may delete any data associated with your account or Tenant after a reasonable period of time.
The following provisions of these Terms will survive termination: Intellectual Property, Privacy, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
15. Dispute Resolution
Any disputes arising out of or related to these Terms or the Service shall be resolved through the following steps:
- Informal negotiation: We will attempt to resolve any disputes informally by contacting you.
- Mediation: If informal negotiation fails, either party may initiate mediation by a neutral mediator.
- Arbitration: If mediation fails, any disputes shall be resolved by binding arbitration in accordance with the laws of Singapore.
Any arbitration shall take place in Singapore, unless both parties agree otherwise. The arbitration shall be conducted in English. The decision of the arbitrator shall be final and binding.
To the extent permitted by law, you agree that you will not bring, join, or participate in any class action lawsuit as to any claim, dispute, or controversy you may have against us. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit.
